Terms of Service

These Terms of Service ("Terms") govern access to and use of the InnovaMetric platform, including its dashboard, APIs, QR code and short link generation, tracking pixels, social media connections, content generation tools, and any other services offered by InnovaMetric (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

1. Accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity that occurs under your account, and must notify us promptly of any unauthorized use.

2. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis through our payment processor at the rate in effect for your selected plan. Fees are non-refundable except where required by law. We may change our pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

3. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or the rights of any third party;
Send unsolicited communications (spam) through connected messaging channels such as WhatsApp or Facebook;
Upload malicious code or attempt to gain unauthorized access to the Service or other accounts;
Reverse engineer, resell, or use the Service to build a competing product; or
Misrepresent tracking pixels, short links, or QR codes to deceive end users.

4. Third-Party Integrations

The Service integrates with third-party platforms (including Meta/Facebook, WhatsApp, and AI content providers such as OpenAI, Google Gemini, and Anthropic). Your use of those integrations is also subject to the respective third party's own terms and policies, and InnovaMetric is not responsible for the availability or conduct of those third-party services.

5. Your Content

You retain ownership of the content, assets, and data you upload to or generate through the Service ("Your Content"). You grant InnovaMetric a limited license to host, process, and display Your Content solely as needed to provide the Service. You are responsible for ensuring you have the rights necessary to upload and process Your Content, including any personal data of end users collected via tracking pixels, QR codes, or short links.

6. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access to the Service for any account that violates these Terms or poses a security risk to the Service or other users.

7. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, InnovaMetric will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

8. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting an updated version on this page with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
